

HolonIQ by QS Terms

1. Interpretation
The definitions in this clause apply in these HolonIQ by QS Terms. Other defined terms shall have the meaning ascribed to them in the General Agreement between QS and the Customer and in the QS General Terms and Conditions.
- Account: a registered account with the HolonIQ by QS Platform.
- Account Plan: the different types of subscription plans available to the Customer for access to the HolonIQ by QS Platform, as updated by QS from time to time.
- Authorised User: employees, agents, independent contractors, or students of the Customer who are authorised to access the Customer’s Account.
- HolonIQ by QS Platform: the “HolonIQ by QS” market intelligence platform accessible at the Site.
- Initial Subscription Term: the initial term as set out in the Order.
- Platform Data: all information, written or visual, provided within the HolonIQ by QS Platform or by QS, including Third Party Data.
- Renewal Period: the period described in clause 6.
- Subscription Term: has the meaning given in clause 6 (the Initial Subscription Term together with any Renewal Periods).
- Third Party Data: information of a Third Party Data Source provided by QS, including Research.
- Third Party Data Source: the publisher, provider, supplier, or originator of any Third Party Data provided by QS.
- User: any Customer or Authorised User.
- User Data: all information, data, documents, comments, posts, feedback, and other materials entered into the HolonIQ by QS Platform by a User or on their behalf, excluding derivative data.
- Site: the URL of QS's website providing User login access to the HolonIQ by QS Platform.
2. Using the Platform
2.1 Licence
- Subject to payment of fees and compliance with these terms, the Customer is granted a limited, non-exclusive, non-transferrable, and revocable licence to access and use the HolonIQ by QS Platform, including Platform Data, for internal business operations during the Subscription Term.
- QS may revoke or suspend a User’s licence at its discretion, including for breach of these terms.
2.2 Authorised Users
- The Customer may select certain Authorised Users, subject to agreed restrictions.
- Registration of new Authorised Users requires:
- (a) provision of personal details (e.g., name, email address);
- (b) no sharing of logins between individuals, unless reassigned;
- (c) acceptance of these terms by the Authorised User.
- QS manages Authorised Users on behalf of the Customer, including appointments and removals.
3. Platform Data
- Platform Data is generated using proprietary technology and Third Party Data Sources. QS does not guarantee accuracy, completeness, or currency, and disclaims liability for reliance on Platform Data.
- Selected Platform Data may be downloadable by Users, subject to restrictions in the Account Plan.
- Use of Platform Data may be further restricted or increased under agreements between QS and the Customer.
4. User Data and Platform Use
4.1 User Data
- QS accepts no liability for User Data.
- Users are responsible for accuracy, legality, and quality of uploaded content.
- Users indemnify QS for any loss or damage caused by erroneous or harmful User Data.
4.2 Software-as-a-Service
- The Platform is owned and maintained by QS and is only accessible via QS servers.
- QS may upgrade, alter, or redesign the Platform at its discretion.
4.3 Support
- QS provides online support via Help Site.
- Support is limited to the User’s Account Plan unless additional fees are agreed.
- QS is not liable for how Users choose to apply support or Platform Data.
4.4 Acceptable Use & Availability
- Users must comply with applicable laws when using the Platform or Platform Data.
- Prohibited content includes harmful, demeaning, violent, slanderous, inappropriate, or offensive material.
- Users are responsible for account security.
- Users must not:
- (a) copy, modify, or distribute the Platform;
- (b) reverse-engineer the Platform;
- (c) build competing products using the Platform;
- (d) make the Platform available to third parties;
- (e) introduce viruses or vulnerabilities.
- QS will make reasonable efforts to ensure availability but accepts no liability for outages.
4.5 Privacy
- Users are responsible for complying with data protection laws.
- The Platform may use cookies; Users may adjust browser settings.
- QS may use User details for developmental, statistical, or analytical purposes.
4.6 Data Security and Transmission
- Users must not compromise QS’s system security.
- QS will make reasonable efforts to ensure secure data transmission.
4.7 Intellectual Property
- Users may not reference QS without written consent.
- QS Intellectual Property is protected by law; Users must not infringe third-party rights.
- All non-User content submitted becomes QS’s Intellectual Property.
4.8 Third Party Dependencies
- The Platform relies on third-party services, including Data Sources, ISPs, and hosting providers. QS is not liable for interruptions caused by such dependencies.
5. Charges and Payment
- QS may increase fees at the start of each Renewal Period with 60 days’ prior notice. The Order shall be deemed amended accordingly.
6. Term and Termination
6.1 Automatic Renewal
- This agreement continues for the Initial Subscription Term and automatically renews for successive 12-month Renewal Periods unless terminated by written notice at least 30 days before expiry.
6.2 Effect of Termination
- All licences immediately terminate.
- Users must cease use of the Platform.
- QS may destroy or dispose of Customer Data.
